Halcyon Bureau offers advisory and consulting services to individuals and organisations navigating significant business decisions. Our current service offerings include:

• Business Narrative Consultation — assisting leaders in articulating the business narrative clearly and credibly for external conversations, including investor discussions, board presentations, and strategic partnerships.
• Leadership Transition Support — working with an incoming leader to prepare thoughtfully for the first ninety days of a new role.
• Business Memorandum Preparation — producing a considered written document presenting the business with accuracy for sharing with advisors, partners, or prospective acquirers.

The details and scope of each service are described on our website and will be confirmed in a written engagement letter prior to commencement of any work.

Nature of advisory services

Our services are advisory in nature. We provide considered perspective, structured support, and written documentation to assist your decision-making. We do not provide legal, financial, regulatory, or tax advice, and nothing in our work should be construed as such. Where specialist professional advice is needed, we will say so clearly.

4. Fees and Payment

Fees for each engagement are agreed in writing prior to commencement. The fees published on our website represent indicative pricing in US dollars and are subject to confirmation based on engagement scope.

Payment terms

• An initial deposit of 50% of the agreed fee is payable upon signing the engagement letter.
• The remaining balance is payable upon delivery of the agreed final work product.
• Payment may be made by bank transfer or such other method as agreed in writing.
• Fees are stated exclusive of applicable taxes. Where Thai VAT applies, it will be stated separately.

Cancellation

If you cancel an engagement after commencement, reasonable fees will be charged in proportion to the work completed at the time of cancellation. The deposit is non-refundable in the event of cancellation by the client. If Halcyon Bureau is unable to complete an engagement due to circumstances within our control, we will refund fees in proportion to the work not completed.

5. Engagements and Scope

Each engagement is governed by a written engagement letter that confirms the scope, deliverables, timeline, and fee. In the event of any inconsistency between the engagement letter and these general terms, the engagement letter will prevail for matters specific to that engagement.

Changes to scope

Any material change to the agreed scope requires written agreement from both parties and may result in an adjustment to the fee and timeline. We will not proceed with out-of-scope work without prior written confirmation.

Client responsibilities

Effective engagement depends on timely and accurate input from your side. You agree to:

• Provide information and materials as reasonably requested in an accurate and timely manner
• Make available relevant individuals for interviews or working sessions as agreed
• Review and provide feedback on draft materials within agreed timeframes

We are not responsible for delays or reduced quality that result from delayed or incomplete client input.

6. Confidentiality

We understand that the matters you bring to us are sensitive, and we treat all client information with discretion. We will not disclose confidential information about your business or engagement to any third party except:

• Where you have given explicit written consent
• Where disclosure is required by applicable law or a valid legal process
• To professional advisors bound by confidentiality obligations where necessary to deliver our services

We request the same discretion from you regarding our working methods, internal documents, and any unpublished materials we share with you in the course of an engagement.

Engagement documents

Work products delivered to you — including written narratives, memoranda, and supporting materials — are for your use in the manner described in the engagement letter. They are not to be shared publicly or with third parties beyond the stated purpose without our prior written consent.

7. Intellectual Property

All content on this website, including text, design, structure, and presentation, is the intellectual property of Halcyon Bureau and is protected under applicable copyright and intellectual property laws. You may not reproduce, modify, or commercially exploit any part of this website without prior written consent.

Engagement deliverables

Upon receipt of full payment, Halcyon Bureau grants you a non-exclusive, non-transferable right to use the deliverables produced during your engagement for the purposes described in the engagement letter. Halcyon Bureau retains the right to retain anonymised frameworks, methodologies, and structural approaches for internal use and future engagements.

8. Limitation of Liability

Our services support your decision-making, but decisions and their outcomes rest with you. We do not accept liability for decisions taken on the basis of our advisory work, or for indirect, consequential, or incidental losses arising from any engagement or use of this website.

Our total liability in connection with any engagement is limited to the fees actually paid by you for that engagement. We do not exclude liability for fraud, death, or personal injury caused by our negligence, where such exclusion would be unlawful.

We make no representations or warranties regarding the accuracy, completeness, or fitness for purpose of information presented on our website, which is provided for general informational purposes only.

9. Governing Law and Disputes

These terms and any engagement with Halcyon Bureau are governed by the laws of the Kingdom of Thailand. Any dispute arising from or relating to these terms or an engagement will be subject to the jurisdiction of the courts of Thailand.

Before initiating formal proceedings, we ask that you contact us in good faith to discuss the concern. We will endeavour to address any issue promptly and constructively.
